Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Wakepoint website, applications, and services (the "Service"), operated by R&D International LLC ("Wakepoint," "we," "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Wakepoint provides ocean container tracking across multiple carriers, predicted arrival estimates, an AI agent suite ("WAKEPOINT+"), an API, and related features. The Service aggregates data from carriers, terminals, and third-party sources.

2. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of your account information, for safeguarding your credentials and API keys, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Subscriptions, trials, and billing

Plans. Paid plans are billed monthly in advance at the prices shown at signup. Plan shipment limits apply as described on the pricing page.
Trials. Free trials convert to a paid subscription at the end of the trial unless cancelled, and unless a promotional code provides otherwise.
Promotional codes. Comp and discount codes are subject to their stated terms and may be limited, modified, or revoked for misuse.
Payments. Payments are processed by Stripe. By subscribing you authorize recurring charges to your payment method until you cancel.
Cancellation and refunds. You may cancel anytime; access continues through the end of the paid period. Any money-back guarantee we advertise applies as stated at the time of purchase.
Changes. We may change prices or plan features with reasonable notice; changes apply to the next billing cycle.

4. Acceptable use

You agree not to: (a) use the Service unlawfully or to infringe others' rights; (b) resell or provide the Service to third parties except as permitted by your plan; (c) reverse engineer, scrape, or overload the Service or API beyond documented limits; (d) attempt to access data that is not yours; or (e) use the Service to violate any carrier's or data provider's terms.

5. Your data

You retain ownership of the tracking numbers, references, and other content you submit ("Your Data"). You grant us a limited license to process Your Data to operate and improve the Service. Our handling of personal data is described in our Privacy Policy.

6. Tracking accuracy and estimates

Predicted ETAs and milestones are estimates, not guarantees. They are derived from third-party carrier, terminal, and vessel-position data that may be delayed, incomplete, or inaccurate. You are responsible for your own operational, customs, and commercial decisions. Wakepoint is not liable for demurrage, detention, missed pickups, or other losses arising from reliance on estimates or third-party data.

7. AI features

WAKEPOINT+ agents and Copilot generate drafts and suggestions (for example, dispatch emails and customer replies). These are drafts for your review. You are responsible for reviewing and approving any communication before it is sent. Automated outputs may contain errors.

8. Intellectual property

The Service, including its software, design, and content (excluding Your Data and third-party marks), is owned by Wakepoint and protected by law. Carrier names and logos are the property of their respective owners and are used for identification only.

9. Third-party services

The Service integrates third parties such as carriers, data aggregators, Stripe, and AI providers. Your use of those integrations may be subject to their terms, and we are not responsible for third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that data will be accurate or complete.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAKEPOINT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold Wakepoint harmless from claims arising out of your use of the Service, Your Data, or your violation of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or non-payment. On termination, your right to use the Service ceases; certain provisions survive.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date, and where required, notified to you. Continued use after changes means you accept them.

15. Governing law

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules. Disputes will be resolved in the courts of Georgia, unless otherwise required by law.
